Overview 综述:

The General Counsel, Asia Pacific (“GCAP”) is responsible for oversight of all legal matters relating to the Company’s business in the Asia Pacific region.   Reporting to the global General Counsel in Dallas and managing a legal team based in Shanghai, the GCAP will be responsible for advising the Company’s regional team as well as global colleagues handling Asia-related matters.  With strong communication and collaboration skills, the GCAP will form part of the regional leadership team and will have demonstrated general leadership qualities in addition to specific legal expertise.

Responsibilities 职责:

  1. Act as principal legal contact for global senior leadership seeking clarity on legal issues in Asia Pacific.
  2. Provide legal support to all Company businesses and functions in region, including corporate development, business and procurement organizations, and functions like Human Resources, Trade Compliance, EHS, Finance and others.
  3. Engage qualified outside counsel in multiple jurisdictions to handle broad range of legal issues.
  4. Advise the Company on its existing and potential joint ventures in the region, including by attending JV board meetings, advising JV directors and interacting with joint venture counterparties.
  5. Lead legal aspects of negotiations on complex strategic commercial contracts (long term supply, take-or-pay contracts, etc.), in coordination with local and global colleagues.
  6. Provide legal support for and handle M&A and JV transactions as first-chair attorney as needed; lead, manage and supervise legal team on deals (including both in-house and outside lawyers and paralegals).
  7. Lead company response to disputes, government investigations or other high-risk legal situations, in multiple jurisdictions.
  8. Provide general legal advice and counsel regarding antitrust, FCPA, trade and other compliance issues.
  9. Conduct compliance and legal training sessions for employees and contractors.
  10. Assist in global law department projects, including driving contract excellence, improving productivity, and similar initiatives.
  11. Lead, train and mentor junior counsel and other employees.

Qualifications 要求:

Skills & Abilities:

  1. Good knowledge of the US legal system and context of publicly traded companies, and significant exposure to legal and regulatory environments of China and other key Asia jurisdictions (e.g. Singapore). Chemical or manufacturing industry experience a plus.
  2. Strong written and oral communication skills, ability to communicate complex concepts clearly and concisely. Good Chinese language skills a plus.
  3. Experience drafting and negotiating complex legal documents.
  4. Detail and results oriented, self-starter who can handle multiple tasks.
  5. Client-focused and able to deliver actionable, pragmatic advice.
  6. Strong leadership ability, highly self-motivated with strong work ethic and ability to meet deadlines.
  7. Comfortable in a high performance environment that is open, honest and ethical, where teamwork and hard work are expected and individual achievements are rewarded.
  8. Ability to utilize influence leadership within a highly energized business.
  9. Long-term career commitment to Greater China/Asia.

Education & Experience.

Legal degree (US training preferred).

Minimum of 10 years’ experience practicing law at a leading law firm and in-house at an MNC, including experience with M&A and other complex commercial transactions.
